Planethic Group AG: Planethic Group Files for Self-Administration to Restructure Its Business Operations

Ludwigsfelde, June 25, 2026 - Planethic Group AG (formerly Veganz Group AG) ("Company" or "Planethic") (ISIN: DE000A3E5ED2 / symbol: VEZ) resolved today to file an application with the competent Local Court (Amtsgericht) of Berlin for the commencement of insolvency proceedings under self-administration. The purpose of this step is to continue the restructuring measures already initiated and to secure the Company's long-term competitiveness.

Following a thorough review of the Company's financial situation, the Management Board has concluded that continuing the business within insolvency proceedings under self-administration offers the best prospects for a successful restructuring. Business operations will continue without interruption. Customers, suppliers and business partners can continue to work with the Company as usual.

The application for the commencement of insolvency proceedings under self-administration relates exclusively to Planethic Group AG. Subsidiaries and equity investments are not affected by the proceedings.

Self-administration under the provisions of the German Insolvency Code enables the Management Board to continue managing the Company under the supervision of a court-appointed trustee (Sachwalter) and to implement the restructuring measures required for a sustainable turnaround.

The workforce will be informed of the current situation. Employees' wage and salary claims are secured through insolvency payments (Insolvenzgeld) for the statutory period.

In the coming weeks, the Management Board, together with the key stakeholders involved in the proceedings, will continue to advance the restructuring measures already initiated and lay the foundation for a sustainable restructuring of the Company.

In light of today's decision to file for insolvency proceedings under self-administration, the bondholders' meeting convened for July 21, 2026, in relation to the outstanding EUR 10,000,000 7.5% Notes 2020/2030 (ISIN: DE000A254NF5) has been canceled. The convening notice is hereby withdrawn, and the bondholders' meeting will not take place.

Due to the material change in the legal and economic circumstances resulting from the insolvency filing, it is currently not possible to ensure that the proposed resolutions can be considered and resolved upon in an appropriate manner. The Company will keep bondholders informed in a timely manner about the progress of the proceedings and any further measures.
