Software AG: Software AG sells its webMethods and StreamSets businesses

to International Business Machines Corporation – IBM for EUR 2.13 billion

Software AG (Frankfurt: ISIN ) today agreed to sell its webMethods and StreamSets businesses to International Business Machines Corporation – IBM. Certain overhead functions servicing these businesses remain with Software AG. The Supervisory Board of Software AG has approved the respective decision by the Management Board. The agreed purchase price amounts to EUR 2.13 billion, subject to customary closing adjustments.

The consummation of the transaction is subject to customary conditions, including regulatory approvals. The transaction is expected to be completed in the second quarter of 2024.
